1. SWEEPSTAKES PERIOD & SPONSOR

The Sweepstakes is sponsored by Base x Apparel (the “Sponsor”).
It begins on [Start Date], at [Start Time] Eastern Time (“ET”) and ends on [End Date], at [End Time] ET (the “Sweepstakes Period”).
The Sponsor’s clock will be the official timekeeper for determining entry deadlines.

2. ELIGIBILITY

Open to legal residents of the fifty (50) United States who are at least 18 years old at the time of entry.

Not eligible: officers, directors, employees, agents, and representatives of the Sponsor, its affiliates, advertising agencies, partners, distributors, and their immediate family members (parents, siblings, children, spouses) or anyone living in the same household.

Bonus Entry (Instagram Story)

• Tag @kyodanactive

• Include the official hashtag [#ContestHashtag]

Earn 1 bonus entry per day during the Sweepstakes Period.

Note: Your Story must be public; private Stories cannot be counted.

Each participant may use only one Instagram and one TikTok account.
Automated or duplicate entries will be disqualified.
In the event of a dispute, the “authorized account holder” of the social media account will be deemed the participant.

4. ENTRY CONTENT REQUIREMENTS

All content submitted (“Participant Content”) — including comments, captions, photos, videos, usernames, and profile images — must NOT:

• Violate laws or regulations

• Be misleading, defamatory, obscene, or offensive

• Promote discrimination, hatred, or illegal activities

• Include personal data, likeness, or voice of any third party without consent

• Contain logos, trademarks, or intellectual property of others

• Target minors or contain explicit/sexual content

• Promote violence, shock value, or spam

By entering, you grant the Sponsor and its affiliates a worldwide, perpetual, royalty-free license to use, display, reproduce, and modify your Participant Content for marketing and promotional purposes across any media, now or in the future.

In other words: your entry may be reposted or featured publicly by Kyodan.

5. PRIZE

The Prize will be stated in the corresponding announcement post and/or described here: [Prize Description].

• The Prize must be accepted as awarded, with no cash alternative.

• The Sponsor reserves the right to substitute a prize of equal or greater value.

• The Sponsor provides no warranty other than the manufacturer’s standard warranty, if applicable.

• Any additional costs not described are the winner’s responsibility.

If the winner is a U.S. resident, they are responsible for all applicable taxes. An IRS Form 1099 may be issued.

6. WINNER SELECTION

On or around [End Date] at [Time] ET, a random drawing will take place. Odds of winning depend on the total number of eligible entries received.

7. WINNER NOTIFICATION & CLAIM PROCESS

• The potential winner will be contacted via Instagram Direct Message within [X] days of selection.

• The winner must:

  1. Respond within [X] days of notification.

  2. Complete and return any required Declaration and Release within [X] days of receipt.

Failure to meet these requirements may result in disqualification, and another winner may be selected. The Prize will be delivered by courier to the address provided by the winner.

8. LIMITATION OF LIABILITY

By entering, participants release the Sponsor, Meta (Instagram), TikTok, and all affiliates, partners, and agents from any claims or damages arising from participation, entry submission, or prize use.

The Sponsor is not responsible for lost, late, or corrupted entries, technical or network failures, unauthorized access, or human/administrative errors.

Apple®, Instagram®, and TikTok® are trademarks of their respective owners. This Sweepstakes is not sponsored or endorsed by any of them.

9. PRIVACY

Personal information collected will be used only for Sweepstakes administration and prize delivery (as applicable).

10. MODIFICATION / TERMINATION

If the Sweepstakes cannot operate as planned due to technical failures, tampering, or other causes, the Sponsor reserves the right to cancel, suspend, or modify it, or to select winners from eligible entries received up to the date of termination.

11. GENERAL CONDITIONS

Any deliberate attempt to undermine the Sweepstakes may be a violation of law. Disputes must be resolved individually, without class action.

Except where prohibited, all disputes will be governed by the laws of the State of Delaware, without regard to conflict of law principles, and adjudicated exclusively in the applicable state or federal courts located in Delaware.
